Terms of Service

Welcome, and thank you for your interest in GuideMe Pvt. Ltd. ("Jambvant," "we," or "us") and our website at https://jambvant.com/ ("Site"), along with our related websites, networks, applications, mobile applications, and other services provided by us (collectively, our "Service"). These Terms of Service are a legally binding contract between you and Jambvant regarding your use of the Service.

These Terms provide that all disputes between you and Jambvant will be resolved by BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under this contract, except for matters that may be taken to small claims court. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury, and your claims cannot be brought as a class action. Please review Section 18 ("Dispute Resolution and Arbitration") for the details regarding your agreement to arbitrate any disputes with Jambvant.

1. Jambvant Service Overview

Jambvant operates an AI-powered human help network - a voice-first platform that connects people who need help with experienced helpers in their community. Through the Service, users may:

• Create profiles describing their work, skills, and experience
• Share their stories and specify what help they need
• Indicate what help they can provide to others
• Get matched with the right persons in their community who can guide them forward
• Connect with helpers through voice and other communication features

Jambvant uses artificial intelligence to facilitate matching between help seekers and helpers. Jambvant may add, modify, or remove features from the Service at any time.

2. Eligibility

You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years of age; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations. If you are under 18 years of age, you must have your parent or guardian's permission to use the Service. If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms and you agree to be bound by these Terms on behalf of that organization.

3. Accounts and Registration

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your name, email address, phone number, work details, skills, experience, or other contact and profile information. You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. When you register, you will be asked to provide a password or authentication method. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. If you have reason to believe that your account is no longer secure, then you must immediately notify us at kum.santosh@jambvant.com.

4. Payment

4.1 Subscription and Credits; Refunds

Access to certain features of the Service may require you to pay subscription fees or purchase pre-paid credits that are linked to your account ("Credits"), along with applicable taxes and transaction fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged.

Subscription Plans: Jambvant offers subscription plans with recurring billing on a monthly, quarterly, or annual basis, as specified at the time of purchase. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will not receive a refund for any unused portion of your subscription period.

Credits: Jambvant also offers the option to purchase Credits to access specific features or services. Once purchased, refunds for unused Credits may be requested within seven (7) days from the time the transaction was processed. If no refund request is received within seven (7) days following the purchase, any unused Credits become non-refundable. To request a refund within the eligible period, please contact us at kum.santosh@jambvant.com. The unused credit amount will be refunded to your payment method; transaction fees and processing charges are non-refundable.

4.2 Credit Expiration; Auto-Renewal

Jambvant reserves the right to expire unused Credits three hundred sixty-five (365) days after purchase. For subscription plans, you may enable automatic renewal, which will charge your payment method automatically at the end of each billing period. You may disable automatic renewal or cancel your subscription at any time through your account settings.

4.3 Currency; Payment Processing

All payments are processed in Indian Rupees (INR). You authorize Jambvant to charge all sums as described in these Terms for the Service you select to the payment method you specify. Jambvant accepts payment through our third-party payment processors. By using a payment processor, you agree to be bound by their terms and conditions.

4.4 Changes to Fees

If Jambvant changes the fees for the Service, including subscription prices or Credit costs, or by adding additional fees or charges, Jambvant will provide you advance notice of those changes. For existing subscriptions, price changes will take effect at the next renewal period. If you do not accept the changes, you may cancel your subscription before the renewal date, or Jambvant may discontinue providing the Service to you.

5. User Content and Data Usage

5.1 User Content Generally

You may provide various types of content and information to the Service, including but not limited to: profile information, work history, skills and experience, descriptions of help needed or offered, voice recordings, messages, images, and other data ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.

5.2 License to Jambvant

By providing User Content to the Service, you grant Jambvant a worldwide, non-exclusive, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed, for purposes of:

• Providing the Service to you
• Matching you with appropriate helpers or help seekers
• Displaying your profile to other users
• Facilitating communication between users
• Improving and developing the Service

5.3 Data Usage for Platform Improvement

You acknowledge and consent that Jambvant may collect, use, and analyze your User Content and usage data to:

• Build and improve the network and matching algorithms
• Provide better connections and recommendations
• Develop new features and services
• Generate insights that benefit the entire community
• Train and improve our AI-powered matching systems

5.4 Anonymized Data Usage

You grant Jambvant permission to use your User Content in anonymized and aggregated form (where your User Content is not associated with you personally or your account) for any purpose, including:

• Sharing insights, statistics, and trends with third parties
• Research and development
• Marketing and promotional purposes
• Creating case studies and success stories (with personally identifiable information removed)
• Analytics and reporting

When we use your data in anonymized form, we will mask, remove, or aggregate all personal details such as your name, contact information, and other identifying information, so that the data cannot reasonably be used to identify you.

5.5 Voice Data

As a voice-first platform, Jambvant collects and processes voice recordings when you use voice features of the Service. You consent to Jambvant recording, storing, processing, and analyzing your voice data for purposes of providing the Service, facilitating matches, improving speech recognition and AI capabilities, and enhancing user experience. Voice recordings may be transcribed and analyzed using automated systems.

5.6 User Content Representations and Warranties

You are solely responsible for your User Content and the consequences of providing it. By providing User Content, you affirm, represent, and warrant that:

• You are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Jambvant to use and distribute your User Content as necessary to exercise the licenses granted by you in this section, in the manner contemplated by Jambvant, the Service, and these Terms;
• Your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Jambvant to violate any law or regulation;
• Your User Content is truthful, accurate, and not misleading;
• Your User Content does not contain any confidential or proprietary information of any third party.

5.7 User Content Disclaimer

We are under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Jambvant may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable, harmful, or illegal.

5.8 Profile Information

You understand that the information you provide in your profile, including your work details, skills, experience, and help offered or needed, may be visible to other users of the Service. You should only include information in your profile that you are comfortable sharing with the Jambvant community.

6. Prohibited Conduct

BY USING THE SERVICE YOU AGREE NOT TO:

• Use the Service for any illegal purpose, in violation of any local, state, national, or international law;
• Create a false identity, misrepresent your identity, credentials, experience, or skills;
• Create multiple accounts as a single user for purposes of manipulation, fraud, or circumventing service limitations;
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• Use the Service to harass, abuse, threaten, or intimidate any other user;
• Develop, support or use software, devices, scripts, robots or any other means or processes to scrape or copy any information on the Site or the Service;
• Bypass any technical measures implemented by Jambvant that are designed to prevent scraping or unauthorized access;
• Violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
• Post, upload, or distribute any User Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate;
• Use the Service for any commercial solicitation purposes not authorized by Jambvant;
• Interfere with security-related features of the Service;
• Interfere with the operation of the Service or any user's enjoyment of the Service;
• Perform any fraudulent activity including claiming false expertise, providing intentionally harmful advice, or accessing any other Service account without permission;
• Use the Service to provide professional services (legal, medical, financial advice, etc.) unless you are appropriately licensed and qualified to do so;
• Sell or otherwise transfer the access granted under these Terms;
• Attempt to do any of the acts described in this Section 6, or assist or permit any person in engaging in any of the acts described in this Section 6.

7. Community Guidelines and Safety

7.1 Helping Responsibly

When offering help to others, you agree to:

• Provide assistance in good faith and to the best of your ability
• Be honest about your expertise, experience, and limitations
• Respect the confidentiality of information shared with you
• Not exploit vulnerable individuals seeking help
• Decline requests for help that are outside your area of expertise

7.2 Seeking Help Responsibly

When seeking help from others, you agree to:

• Provide accurate information about your situation and needs
• Respect the time and expertise of helpers
• Not make excessive or unreasonable demands
• Use judgment in following advice received and seek professional help when appropriate
• Provide feedback and updates when appropriate

7.3 No Professional Services Guarantee

Jambvant is a platform for peer-to-peer help and guidance. Unless explicitly stated otherwise, helpers on the platform are not providing professional services and you should not rely on advice from the Service as a substitute for professional legal, medical, financial, or other licensed professional services. Any information or advice received through the Service is for informational and guidance purposes only.

8. Termination of Use; Discontinuation and Modification of the Service

You may terminate your account at any time by contacting customer service at kum.santosh@jambvant.com. If you terminate your account:

• For subscriptions: You remain obligated to pay all fees for the current billing period. No refunds will be provided for partial billing periods. Your subscription will not renew after the current period ends.
• For Credits: Any unused Credits purchased within the last seven (7) days may be refunded upon request. Credits purchased more than seven (7) days prior are non-refundable.

If you violate any provision of these Terms, your permission from us to use the Service will terminate automatically, and you will forfeit any unused Credits or remaining subscription period without refund.

9. Privacy Policy

9.1 Data Collection and Use

Jambvant collects, uses, stores, and discloses your personal information and User Content as described in these Terms. By using the Service, you consent to our collection and use of:

• Personal information (name, email, phone number, location)
• Profile information (work history, skills, experience, bio)
• User Content (posts, messages, voice recordings, help requests and offers)
• Usage data (how you interact with the Service, features used, connections made)
• Device information (IP address, browser type, device type)
• Voice data and recordings

9.2 How We Use Your Information

We use your information to:

• Provide, maintain, and improve the Service
• Create and manage your account
• Match you with appropriate helpers or help seekers
• Facilitate communication between users
• Send you service-related notifications and updates
• Respond to your requests and support inquiries
• Analyze usage patterns and improve our AI matching algorithms
• Develop new features and services
• Ensure safety and security of the platform
• Comply with legal obligations

9.3 Information Sharing

We may share your information:

• With other users as necessary to provide the Service (e.g., showing your profile to potential matches)
• With service providers who assist in operating the Service (e.g., hosting, payment processing, analytics)
• In anonymized and aggregated form that does not identify you personally
• When required by law or to protect our rights
• In connection with a merger, acquisition, or sale of assets (with notice to you)

We will not sell your personal information to third parties for their marketing purposes without your explicit consent.

9.4 Data Security

We implement reasonable security measures to protect your information from unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

9.5 Data Retention

We retain your personal information for as long as your account is active or as needed to provide you the Service. We may retain certain information after account closure as required by law or for legitimate business purposes.

9.6 Your Rights

You have the right to:

• Access, update, or delete your personal information through your account settings
• Opt-out of certain data collection or uses (which may limit Service functionality)
• Request a copy of your data
• Withdraw consent for data processing (which may result in service termination)
• Lodge a complaint with applicable data protection authorities

9.7 Children's Privacy

While we allow users 13 years and older with parental consent, we do not knowingly collect personal information from children under 13. If we learn that we have collected information from a child under 13, we will delete it promptly.

9.8 International Data Transfers

Your information may be transferred to and processed in countries other than your country of residence. By using the Service, you consent to such transfers.

10. Additional Terms

Your use of the Service is subject to all additional terms, policies, rules, or guidelines applicable to the Service or certain features of the Service that we may post on or link to from the Service (the "Additional Terms"), such as community guidelines or feature-specific terms. All Additional Terms are incorporated by this reference into, and made a part of, these Terms.

11. Modification of these Terms

For any changes to these Terms that materially modifies your rights or obligations, we will provide you thirty (30) days advance notice via email or an in-product notification. Your continued use of the Service following receipt of notice constitutes your consent to these material changes. All other changes will be effective as soon as we post them to our Site.

12. Ownership; Proprietary Rights

The Service is owned and operated by Jambvant. The visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service ("Materials") provided by Jambvant are protected by intellectual property and other laws. All Materials included in the Service are the property of Jambvant or our third-party licensors.

13. Feedback

If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Service ("Feedback"), then you hereby grant Jambvant an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose, including to improve the Service and create other products and services.

14. Indemnity

You are responsible for your use of the Service, and you will defend and indemnify Jambvant and its officers, directors, employees, consultants, affiliates, subsidiaries and agents from and against every claim, liability, damage, loss, and expense, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (a) your access to, use of, or alleged use of, the Service; (b) your violation of any portion of these Terms; (c) your violation of any third-party right; (d) any User Content you provide; (e) any advice, guidance, or help you provide or receive through the Service; or (f) any dispute or issue between you and any third party.

15. Disclaimers; No Warranties

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE JAMBVANT ENTITIES DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE.

YOU UNDERSTAND AND AGREE THAT JAMBVANT IS A PLATFORM THAT FACILITATES CONNECTIONS BETWEEN USERS AND IS NOT RESPONSIBLE FOR THE QUALITY, ACCURACY, SAFETY, OR LEGALITY OF ANY ADVICE, GUIDANCE, HELP, OR INFORMATION PROVIDED BY USERS. JAMBVANT DOES NOT VERIFY THE CREDENTIALS, EXPERTISE, OR QUALIFICATIONS OF USERS AND MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY OF ANY MATCH OR CONNECTION.

16. Limitation of Liability

IN NO EVENT WILL THE JAMBVANT ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE.

THE AGGREGATE LIABILITY OF THE JAMBVANT ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO JAMBVANT FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT(S) OR CIRCUMSTANCES GIVING RISE TO CLAIM; OR (B) ₹10,000 (RUPEES TEN THOUSAND).

17. Governing Law

These Terms are governed by the laws of India without regard to conflict of law principles. The courts in Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

18. Dispute Resolution and Arbitration

18.1 Generally

In the interest of resolving disputes between you and Jambvant in the most expedient and cost effective manner, you and Jambvant agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND JAMBVANT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

18.2 Exceptions

Despite the provisions of Section 18.1, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable agency if that action is available; (c) seek injunctive relief in a court of law; or (d) to file suit in a court of law to address an intellectual property infringement claim.

18.3 Arbitrator

Any arbitration between you and Jambvant will be governed by the Arbitration and Conciliation Act, 1996 of India, and will be administered by an arbitration institution mutually agreed upon by the parties. The seat of arbitration shall be Bangalore, Karnataka, India.

18.4 Notice; Process

18.5 Fees

The costs of arbitration, including arbitrator's fees, will be allocated in accordance with the arbitrator's decision. If you commence arbitration in accordance with these Terms and the claim is for ₹2,00,000 (Rupees Two Lakhs) or less, Jambvant will reimburse you for your payment of the filing fee.

18.6 No Class Actions

YOU AND JAMBVANT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18.7 Modifications to this Arbitration Provision

If Jambvant makes any future change to this arbitration provision, other than a change to Jambvant's address for Notice, you may reject the change by sending us written notice within 30 days of the change to Jambvant's address for Notice.

18.8 Enforceability

If Section 18.6 is found to be unenforceable or if the entirety of this Section 18 is found to be unenforceable, then the entirety of this Section 18 will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described in Section 17 will govern any action arising out of or related to these Terms.

19. General

These Terms, together with the Privacy Policy (as incorporated in Section 9) and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Jambvant regarding your use of the Service. Upon termination of these Terms, Sections 2, 4, 5, and 10 through 20, along with the Privacy Policy and any other accompanying agreements, will survive.

20. Consent to Electronic Communications

By using the Service, you consent to receiving certain electronic communications from us as further described in Section 9 (Privacy Policy). You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.
